End user licence agreement

1. Introduction
This End User Licence Agreement ("EULA") is a legal agreement between you and Promo.ly LTD ("Promoly", "we", "us"), a company registered in England and Wales (company number 09153668). It governs your use of the Promoly web application at mailer.promo.ly.
By using Promoly, you accept these terms. If you don't agree, stop using the service.
2. Licence grant
We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Promoly web application for your internal business or personal purposes, subject to these terms and the plan you've subscribed to.
This licence doesn't give you ownership of Promoly or any of its code, design, or content. All intellectual property rights remain with Promo.ly LTD.
3. Restrictions
You must not:
- Copy, modify, or create derivative works from the application
- Reverse engineer, decompile, or disassemble any part of the application
- Rent, lease, lend, sell, or sublicense access to the application
- Use the application to build a competing product
- Remove or alter any copyright notices or branding
- Use automated scripts to scrape, mine, or extract data from the application
4. Your data
You keep ownership of all content you upload (music files, artwork, contact lists, campaign content). We process your data only to provide the service. See our privacy policy for full details on how we handle personal data.
5. Updates and changes
Promoly is a web application, so updates happen automatically. We regularly release new features, bug fixes, and improvements. We may also change or retire features. We'll give reasonable notice for changes that significantly affect how you use the service.
6. Warranty disclaimer
Promoly is provided "as is" and "as available" without warranties of any kind. We don't guarantee that the application will be error-free, uninterrupted, or free from viruses. You use the application at your own risk.
7. Limitation of liability
To the fullest extent permitted by law, Promo.ly LTD won't be liable for any indirect, incidental, special, or consequential damages. Our total liability is limited to the fees you've paid in the 12 months before the event giving rise to the claim.
8. Termination
This licence is effective until terminated. It terminates automatically if you breach any of its terms. We may also terminate your licence if you violate our terms and conditions or if your subscription ends.
When the licence terminates, you must stop using Promoly. We'll handle your data according to our privacy policy.
9. Export compliance
You agree not to export or re-export the application or any data from it in violation of UK export control laws or any applicable international trade regulations.
10. Governing law
This EULA is governed by the laws of England and Wales. Disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
11. Entire agreement
This EULA, together with our terms and conditions and privacy policy, makes up the full agreement between you and Promo.ly LTD regarding the use of Promoly. If any part of this EULA is found unenforceable, the remaining parts stay in effect.
